1. Subject of the agreement
1.1 These Terms govern the provision of website hosting and digital presence services ("the Service") through pagebiz.eu to business clients ("Client") across the European Union.
1.2 The Service consists of: creation and hosting of a one-page business website, placement on Google Maps, and optional domain registration and Google Business Profile management, as specified in the selected subscription plan.
1.3 These Terms apply to B2B contracts (between two businesses or sole traders). If you are a consumer (natural person acting outside your professional activity), EU consumer protection law applies in addition to these Terms, including the 14-day right of withdrawal under Directive 2011/83/EU.
2. Subscription and payment
2.1 The Service is provided on a monthly subscription basis. Subscription begins on the date of first payment.
2.2 Subscriptions renew automatically on a monthly basis. The Client will be notified by email at least 7 days before each renewal.
2.3 Payment is due within 7 days of the invoice date. Late payment may result in temporary suspension of the Service.
2.4 Prices are listed at pagebiz.eu/pricing. The Service Provider reserves the right to modify prices with 30 days' advance notice to the Client.
3. Demo sites and the 30-day offer
3.1 The Service Provider may create a demonstration website for a business without prior request ("demo site"), accessible via a numeric subdomain (e.g. 15.pagebiz.eu).
3.2 Demo sites are provided free of charge and without any obligation on the part of the business owner.
3.3 If no subscription is initiated within 30 days of the demo site creation, the demo site will be archived and removed from public access automatically.
3.4 No invoice is issued and no payment is collected for demo sites.
4. Content and intellectual property
4.1 The Service Provider retains ownership of the website design, templates, and infrastructure. The Client receives a non-exclusive licence to use the website as long as the subscription is active.
4.2 The Client is responsible for the accuracy of business information displayed on their website. The Client warrants that they have the right to use any content (including photos, logos, trademarks) provided to the Service Provider.
4.3 Upon subscription cancellation, the Client may request an export of their website content (text and images) within 30 days of cancellation, at no charge.
5. Domain names (Standard plan)
5.1 On the Standard plan, the domain is registered in the Client's name from the date of registration. The Client is the legal owner of the domain.
5.2 The Service Provider manages DNS settings on behalf of the Client during the subscription period.
5.3 Upon cancellation, the Client may transfer the domain to any registrar. Transfer assistance is available for a one-time fee of €49.
5.4 If the Client does not request domain transfer within 60 days of cancellation, the domain may lapse. The Service Provider will send a reminder 30 days before lapse.
6. Cancellation and termination
6.1 Either party may terminate the subscription with 30 days' written notice sent to admin@pagebiz.eu.
6.2 Upon termination, the website remains accessible for 30 days (grace period), after which it is archived.
6.3 The Service Provider may terminate the Service immediately in cases of: non-payment exceeding 30 days, violation of these Terms, or use of the Service for unlawful purposes.
7. Liability
7.1 The Service Provider's liability is limited to the total fees paid by the Client in the 3 months preceding the event giving rise to the claim.
7.2 The Service Provider is not liable for indirect, consequential, or loss-of-profit damages.
7.3 The Service Provider guarantees 99.5% monthly uptime. In case of downtime exceeding this threshold, the Client is entitled to a pro-rata credit on the next invoice.
8. Data protection (GDPR/RODO)
8.1 The Service Provider processes Client data in accordance with the Privacy Policy (pagebiz.eu/privacy) and Regulation (EU) 2016/679 (GDPR).
8.2 The Client, by displaying their business information on the website, acts as a data controller for any personal data of their customers. The Service Provider acts as a data processor in this context. A Data Processing Agreement (DPA) is available upon request.
9. Governing law and disputes
9.1 These Terms are governed by Polish law.
9.2 Disputes shall first be resolved by mutual negotiation. If unresolved within 30 days, disputes shall be submitted to the competent court in Konin, Poland.
